1. Acceptance and Authority

By accessing our Services, you agree to be bound by these Terms on your own behalf and on behalf of any corporate entity you represent. You warrant that:

• You are of the legal age of majority in your jurisdiction (India/UAE).
• You possess the legal authority to bind your employer or organization to these Terms.
• If you do not agree, you must immediately cease all use of our Services.

2. Intellectual Property and "Autonomous AI" Ownership

The Services, including all underlying software, AI models, neural architectures, "Autonomous Enterprise" frameworks, and documentation, are the sole property of Cognita, protected by international copyright and patent laws.

• No Reverse Engineering: You shall not, and shall not permit others to, decompile, disassemble, or attempt to extract the source code or model weights of our AI products.
• Derivative Works: All improvements, modifications, or derivative works based on our Services remain our exclusive property, even if based on your feedback or suggestions.

3. Confidential Information

During the use of our Services, you may gain access to "Confidential Information" (research, non-public AI processes, financial projections).

• Non-Disclosure: You agree to protect our confidential Information with at least a reasonable degree of care and shall not disclose it to third parties without prior written consent.
• Internal Access: You shall limit access to such information only to personnel who require it for the proper use of the Services and who are bound by similar confidentiality obligations.

4. Use of Services & Restricted Areas

• License: We grant you a limited, non-exclusive, non-transferable license to use our Services for your internal business purposes only.
• Security: Certain areas are password-protected. You are solely responsible for all activity under your account. You must notify us immediately of any unauthorized access.
• Automated Tools: You may not use robots, spiders, or other automated tools to scrape or overburden our AI infrastructure without express authorization.

5. White-Label & Branding Rights

If Cognita provides a "white-label" version of our AI products for your end-users:

• You hereby grant us a worldwide, royalty-free license to use your trademarks, logos, and trade dress solely for the purpose of branding the application as per your request.
• Cognita retains all rights to the underlying "Autonomous Intelligence" engine powering such white-label solutions.

6. Billing, Pricing, and Taxes

• Currency: All invoices will be issued in INR (for Indian entities) or AED (for UAE entities) as applicable.
• Payment:Fees are based on actual usage or subscription tiers and are non-refundable.
• Taxes: You are responsible for all applicable taxes (VAT in UAE, GST in India) and any withholding taxes imposed by your jurisdiction.
• Late Payments: Accounts 30 days overdue may result in the immediate suspension of AI Services and acceleration of all unpaid obligations.

7. Content and Liability Disclaimer

• "As-Is" Basis: All AI-led products and information are provided "as-is." Cognita reserves the right to modify features as we refine our autonomous intelligence technology.
• AI Accuracy: While our products are built on ISO 9001:2015 standards, AI outputs depend on data inputs. We are not liable for direct or indirect damages arising from business decisions made based on AI-generated insights.
• Limitation: In no event shall Cognita be liable for lost profits, loss of revenue, or loss of data resulting from the use or inability to use the Website or Services.

8. Compliance & Data Protection

Our collection and use of your data are governed by our Privacy Policy. We are compliant with the ISO/IEC 27001:2022 standard for information security. For users in the EEA or those subject to GDPR, our Data Processing Addendum (DPA) applies.

9. Governing Law and Jurisdiction

These Terms shall be governed by:

• The laws of India for services rendered by our Kochi headquarters.
• The laws of the United Arab Emirates for services rendered by our Dubai office. Any disputes shall be resolved in the respective courts of Kochi or Dubai.
